Terms and Conditions

§ 1 Scope

These Terms and Conditions apply to all contracts concluded via the website getdeepcut.de between Deepcut UG (haftungsbeschränkt) i.G. (hereinafter “Deepcut” or “we”) and the customer (hereinafter “you” or “Customer”). The version of these Terms and Conditions valid at the time of contract conclusion shall apply.

§ 3 Subject of the Contract

Deepcut offers the opportunity to support the development of the Deepcut platform as a Founding Member through its website. In return, the customer receives the rewards associated with the respective tier. The specific services are described on the website and in the Funding Terms.

The rewards include, depending on the chosen tier:

• Digital services: Profile badges, name in credits, early access to the beta version, participation in community polls, access to exclusive communication channels, quarterly updates, informal feedback sessions
• Physical goods: Exclusive T-shirt (shipping within Germany only, delivery time approx. 6–8 weeks)
• Service benefits: Free uploads on the platform (12 months from platform launch, max. 50 tracks), priority support, personal onboarding

Important Note: The purchase of a Founding Member tier does not constitute a company share, profit-sharing right, voting right in a corporate law sense, or any other claim to the company Deepcut.

§ 4 Contract Conclusion

The presentation of tiers on the website does not constitute a legally binding offer, but an invitation to submit an offer (invitatio ad offerendum). By submitting your order through the checkout, you make a binding offer. The contract is concluded upon payment confirmation.

Before submitting your order, you will be asked to accept the Terms and Conditions and Funding Terms, and to acknowledge the cancellation policy. For digital content, you will additionally be asked to consent to the immediate commencement of services.

§ 5 Prices and Payment

All prices shown on the website are final prices including the statutory value-added tax of currently 19 %. Payment is processed through the payment service provider Stripe. The payment methods offered there are accepted.

§ 6 Right of Withdrawal

Cancellation Policy

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of the conclusion of the contract (for digital content) or from the day on which you, or a third party other than the carrier designated by you, have taken physical possession of the goods (for physical goods such as T-shirts).

of your decision to withdraw from this contract by an unequivocal statement (e.g., a letter sent by post or an email). You may use the attached model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

For physical goods, you shall send back the goods without undue delay and in any event not later than fourteen days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of fourteen days has expired. You will bear the direct cost of returning the goods.

Early Expiry of the Right of Withdrawal

The right of withdrawal expires prematurely for contracts for the supply of digital content which is not supplied on a tangible medium if you have expressly agreed that we may begin performance of the contract before the expiry of the withdrawal period and you have confirmed your knowledge that by giving your consent you lose your right of withdrawal upon commencement of performance (§ 356(5) BGB). This consent is obtained during the checkout process.

§ 7 Delivery and Service Provision

Digital rewards (badges, early access, credits) will be provided within 30 days of receipt of payment. Physical rewards (T-shirts) will be shipped within 6–8 weeks of receipt of payment. Delivery delays will be communicated.

Service rewards (e.g., free uploads) begin with the public launch of the Deepcut platform. The upload service has a duration of 12 months from platform launch. Should the launch not take place within 18 months of the purchase date, you will receive a pro-rata refund for service benefits not yet provided.

Physical goods (T-shirts) are shipped within Germany only. International orders are not currently supported. If an international customer purchases a tier that includes physical goods, we will contact them by email to find a solution.

§ 8 Warranty

The statutory warranty rights apply. For physical goods (T-shirts), the statutory warranty period of two years from receipt of the goods applies (§§ 434 ff. BGB).

For digital products and services, the provisions of §§ 327–327u BGB apply. Deepcut ensures that digital products conform to the contractual requirements at the time of provision. For products with ongoing provision (e.g., upload service), we warrant conformity for the duration of the agreed term.

§ 9 Liability

Deepcut is liable without limitation in cases of intent and gross negligence, as well as under the Product Liability Act. In cases of slight negligence, Deepcut is only liable for breach of material contractual obligations (cardinal obligations), limited to the foreseeable, contract-typical damage.

§ 12 Dispute Resolution

The European Commission provides a platform for online dispute resolution (OS): https://ec.europa.eu/consumers/odr/ . We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 13 Applicable Law

The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state in which you have your habitual residence shall remain unaffected.

§ 14 Severability Clause

Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provision.
